Nomination Remuneration Committee

Nomination and Remuneration Committee is a supporting organ for the Board of Commissioners (BOC) that has a role in providing support to the BOC to oversee the implementation of the nomination and remuneration policies for directors, management team, and employees, which are in accordance with the principles of Good Corporate Governance (GCG).
THE FUNDAMENTAL PRINCIPLE OF THE NOMINATION & REMUNERATION COMMITTEE ESTABLISHMENT
The Nomination and Remuneration Committee was established based on the Regulation of the Minister of State for SOEs Number Per-01/MBU/2011, August 1, 2011, concerning the Implementation of Good Corporate Governance in SOE (BUMN) and the Regulation of the Minister of SOE Number Per-12/ MBU/2012, August 24, 2012, concerning the Supporting Organs for the BOC/Supervisory Board of SOE.
THE DUTIES AND RESPONSIBILITIES OF THE NOMINATION & REMUNERATION COMMITTEE

The duties and responsibility of the Nomination and Remuneration Committee are as follows:

  • Providing recommendations regarding candidates for the directors to the BOC to be submitted to the GMS.
  • Preparing and providing the recommendations regarding the systems and procedures for the selection and/or replacement of members of the BOC and BOD to the BOC to be submitted at the GMS.
  • Evaluating the remuneration policy.
  • Providing recommendations to the BOC regarding:
    • Remuneration policy for the BOC and BOD to be submitted to the GMS.
    • Remuneration policy for all employees to be submitted to the BOD.
